1. Agreement to These Terms
These Terms & Conditions ("Terms") form a binding agreement between you ("you", "User") and StudyCloud ("StudyCloud", "we", "us"), the operator of the studycloud.io platform and all related websites, applications, APIs, and services (together, the "Service"). By creating an account, accessing a shared link, purchasing a plan, or otherwise using the Service, you confirm that you have read, understood, and accepted these Terms. If you do not agree, you must not use the Service.
If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to both you and that organization.
2. Description of the Service
StudyCloud provides a cloud-based platform that allows users to:
- Upload, organize, and store files and folders, including large video and document files;
- Stream video and read documents directly in the browser;
- Generate AI-assisted transcriptions, caption translations, and dubbed audio tracks;
- Create public or restricted share links to distribute courses and files;
- Monetize downloads and course access, and receive payouts through a wallet balance;
- Import content from connected third-party storage providers;
- Access the platform programmatically through API keys and webhooks.
The Service is a technology platform. StudyCloud does not author, endorse, or verify the educational content uploaded or shared by users.
3. Eligibility and Accounts
You must be at least 16 years old (or the minimum age of digital consent in your jurisdiction) to create an account. You agree to provide accurate registration information and keep it up to date.
You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your credentials, API keys, and multi-factor authentication devices. Notify us immediately at contact@studycloud.io if you suspect unauthorized access. Accounts are personal; you may not sell, share, or transfer an account without our written consent.
4. Plans, Subscriptions, and Billing
4.1 Plans
StudyCloud offers free and paid plans, including higher-capacity Scale plans billed monthly or annually according to the storage volume you select. Each plan defines quotas for storage, monthly bandwidth, maximum file size, and access to AI features. Current pricing and quotas are displayed on the Pricing page and form part of these Terms.
4.2 Payment
Paid plans and one-off purchases are charged through our payment processors. By submitting payment details you authorize us and our processors to charge the applicable fees, taxes, and recurring subscription amounts. Subscriptions renew automatically at the end of each billing period until cancelled.
4.3 Cancellation
You may cancel a subscription at any time from your billing settings. Cancellation stops future renewals; access continues until the end of the paid period. Refunds are governed by our Return & Refund Policy.
4.4 Quotas, Overage, and Non-Payment
Exceeding storage or bandwidth quotas may result in throttling, suspension of uploads or downloads, overage charges where disclosed, or restriction of share links. If a payment fails or an account remains unpaid, we may downgrade, suspend, or terminate the account and, after reasonable notice, delete stored data.
4.5 Taxes
Prices are exclusive of applicable taxes unless stated otherwise. You are responsible for all taxes associated with your purchases, other than taxes on our income.
5. Monetization, Wallet, and Payouts
Where you use the Service to sell access to your own content, you are the merchant of record for that content and are solely responsible for its legality, accuracy, licensing, tax treatment, and for honouring the commitments you make to your buyers. Earnings accrue to your StudyCloud wallet balance, less applicable platform fees and payment processing costs. We may withhold, reverse, or freeze balances in cases of chargebacks, fraud, abuse, rights-holder complaints, or breach of these Terms.
6. Acceptable Use
You agree not to use the Service to store, share, stream, sell, or transmit content that:
- Infringes copyright, trademark, database, moral, or other intellectual property rights;
- Is unlawful, defamatory, harassing, hateful, or invasive of privacy;
- Contains malware, exploits, or code designed to disrupt systems;
- Depicts child sexual abuse material, or content prohibited by applicable law;
- Contains personal or sensitive data you have no lawful basis to process.
You further agree not to:
- Circumvent quotas, access controls, share-link restrictions, watermarking, or paywalls;
- Use automated systems to scrape, mass-download, or resell platform content or bandwidth;
- Operate the Service as a general-purpose public file mirror, CDN, or backup for pirated media;
- Reverse engineer, probe, or attempt to gain unauthorized access to the Service or other users' data;
- Interfere with the integrity, performance, or availability of the Service.
We may investigate suspected violations, and may remove content, disable share links, throttle usage, or suspend accounts where we reasonably believe a violation has occurred.
7. Intellectual Property
7.1 Your Content
You retain all ownership rights in the files, courses, transcripts, and other materials you upload ("Your Content"). You grant StudyCloud a worldwide, non-exclusive, royalty-free licence to host, store, copy, transcode, index, transmit, and display Your Content solely as needed to operate, secure, and improve the Service and to deliver the features you enable (including thumbnail generation, streaming, transcription, translation, and dubbing). This licence ends when you delete the content, subject to routine backup retention.
7.2 AI-Generated Outputs
Transcripts, translated captions, and synthesized audio are generated automatically and may contain errors, omissions, or mistranslations. They are provided "as is", must not be relied upon for clinical, legal, financial, or safety-critical decisions, and you are responsible for reviewing them before publication or distribution.
7.3 Our Property
The StudyCloud name, logo, interface, software, and documentation are owned by StudyCloud and protected by intellectual property laws. These Terms grant no right to use our brand assets without prior written permission.
7.4 Copyright Complaints
If you believe content on StudyCloud infringes your rights, send a notice to contact@studycloud.io identifying the work, the specific URL or share link, your contact details, and a statement of good-faith belief and accuracy. We will review and, where appropriate, remove the content and act against repeat infringers, including account termination.
8. Share Links and Third-Party Access
Public share links are accessible by anyone who has the URL. You are responsible for choosing the right visibility settings and for any onward distribution of a link you create. Existing share links remain stable; we do not silently revoke or repurpose them, but we may disable a link that violates these Terms.
9. Third-Party Services
The Service integrates with third-party providers for storage, payments, email delivery, AI processing, and cloud-drive imports. Your use of those integrations may also be subject to the provider's terms. We are not responsible for third-party services we do not control.
10. Availability and Changes
We aim for high availability but do not guarantee uninterrupted or error-free operation. Maintenance, upgrades, provider incidents, or events beyond our control may cause downtime. We may modify, add, or discontinue features; if a change materially reduces a paid feature you rely on, we will provide reasonable notice.
11. Suspension and Termination
You may stop using the Service and delete your account at any time from your account settings. We may suspend or terminate access immediately where you materially breach these Terms, where required by law, or where continued access poses a security, legal, or financial risk. On termination, your right to use the Service ends and stored content may be deleted after a reasonable grace period. Sections that by nature survive termination (including intellectual property, liability, and governing law) continue to apply.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, accuracy of AI outputs, or uninterrupted availability. StudyCloud is not a backup service of last resort: you remain responsible for keeping independent copies of important files.
13. Limitation of Liability
To the maximum extent permitted by law, StudyCloud and its officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business, or data, arising from or related to the Service, even if advised of the possibility of such damages.
Our total aggregate liability for all claims arising in any twelve-month period is limited to the greater of (a) the amounts you paid to StudyCloud for the Service during that period, and (b) USD 100. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or death or personal injury caused by negligence.
14. Indemnity
You agree to indemnify and hold harmless StudyCloud against claims, damages, liabilities, and reasonable legal costs arising from Your Content, your use of the Service, your monetization activities, or your breach of these Terms or of applicable law.
15. Changes to These Terms
We may update these Terms to reflect changes in the Service or the law. Material changes will be announced by email or in-app notice before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
16. Governing Law and Disputes
These Terms are governed by the laws applicable at StudyCloud's principal place of business, without regard to conflict-of-law rules. The parties will first attempt to resolve any dispute in good faith by contacting contact@studycloud.io. Where resolution is not reached within 30 days, disputes will be submitted to the competent courts of that jurisdiction. Consumers retain any mandatory rights and forums available under their local law.
17. General
These Terms, together with the Privacy Policy, Return & Refund Policy, and Delivery Policy, form the entire agreement between you and StudyCloud. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
